Terms & Conditions

Dean St Studios requires its Members and their guests to accept and be bound by the standards of conduct and rules for hire of the Studio as set out in the following terms and conditions.

1. MEMBERSHIP ENTITLEMENT, BOOKING AND PROCEDURE

1. Dean St Studios welcome anyone to sign up to the Basic Tier membership package to become a Member of Dean St Studios.  Further paid membership tiers entitle approved members to specific discounts based on their monthly subscription. Individuals with a valid membership subscription shall be known as Tiered Members.

2. Due to capacity, individuals shall apply to the Dean St Studios Manager for consideration to become Tiered Member. In the unlikely event that a membership cannot be granted, the applicant will be added to the priority waiting list. The Dean St Studio Manager’s decision is final. 
3. An example of tiered entitlements available to Dean St Studio 5 Members are as follows. Please note that the prices set out below are for guidance and may be subject to change.

4. Once a Tiered Membership application has been approved, Dean St Studios membership includes a 3 month minimum commitment. Billing cycles will automatically renew on a calendar monthly basis, and tiered membership must start on 1^st of the month after approval unless otherwise arranged with the studio manager.

5. Each membership tier comes with a designated amount of studio time per month. One session consists of one uninterrupted 10 hour day. Subject to availability, monthly session entitlements must be used within the valid month. Session days can be spread across the membership month. Monthly session entitlements must be used within the valid month. Unused entitlements will not be carried forward. Session entitlements for each tier will automatically refresh at the beginning of each billing cycle. All bookings must be made in full 10 hour days. 

6. Discounted rates for renewals are at the discretion of the Studio Manager. The Studio Manager’s decision is final. 

 

7. Members booking Studio 5 are entitled to up to 3 guests including a third party engineer or 2 guests where the booking includes an in-house engineer.  For any additional guests, please check capacity with the Studio Manager. 

 

8. All Members are responsible for their guests and must be present with them at all times whilst onsite. 

9. Members are welcome to book an on-site engineer subject to availability. Dean St Studios will use their best endeavours to ensure that this engineer will be available subject to the terms of Clause 10 below.

10. All bookings include in-house gear rental subject to availability. Dean St Studios will use their best endeavours to ensure that this equipment will be available subject to the terms of Clause 10 below. Members are welcome to organise any third party equipment hire with the Studio Manager subject to Clause 7 Equipment set out below. 
11. 
    PAYMENT AND RELEASE OF SESSION FILES

1. Once a Membership has been approved by Dean St Studios, Members can apply for bookings subject to their membership tier. Please be aware that you will be immediately liable for the non-refundable subscription fee. 

2. Fees and charges exclude VAT. Payment details shall be set out in the applicable invoice.

3. All subscriptions must be paid for by direct debit, failure to take payment will result in sessions being suspended until resolved.

4. All members are responsible for their own files. Please bring your own working drive if you have booked dry hire or assistant only sessions.  Any files retained on Dean St Studios owned drives may be deleted so please ensure you have backups and copies of files.

5. All payments from outside the UK must cover all transaction fees and invoices are to be paid in GBP.

6. Payment We reserve the right to claim statutory interest at 8% above the Bank of England base rate for late payment in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

 

3. SESSION BOOKING CANCELLATION 

If the cancellation is made within 48 hours of the session start date, the session will be automatically deducted from the membership tier allocation for the respective month. In this instance, the charge may only be waived entirely at the Studio Manager’s discretion. 

 

4. MEMBERSHIP CANCELLATION AND TERMINATION

 

1. All Memberships tiers have a minimum term of 3 months and will automatically renew on a monthly basis unless either 

(a) you chose to resign or 

(b) your Membership is terminated by Dean St Studios (at its sole discretion). Dean St Studios will contact you two weeks prior to your automatic renewal to inform you of any price rise.

2. Member resignations shall be communicated in writing to bookings@deanst.com a minimum of 20 days before your next direct debit is due. 

3. Either  party may terminate the membership agreement or suspend the services at any time by a written notice of termination or suspension to the other if that other:

(a) commits a serious breach, or series of breaches resulting in a serious breach, of the Contract and the breach either cannot be fixed or is not fixed within 30 days of the written notice; or

(b) is subject to any step towards its bankruptcy or liquidation.

4. On termination of the membership agreement for any reason, any respective remaining rights and liabilities will not be affected.

5. All refunds will be made at the discretion of Dean St Studios. 

 

 

5. STUDIO DAY AND OVERTIME

1. One session is calculated as 10 hours including set up to be taken between 8am and 11pm. Dean St Studios will use their best endeavours to have sessions set up before your scheduled booking per the terms agreed with the Studio Manager. 

2. Out of hours usage (11pm to 8am) will only be agreed at the express discretion of the Studio Manager. 

3. Overtime will be charged after this time at the following rates at the discretion of the Studio Manager:

Engineer Transport	charged for any sessions finishing 11pm or later.

4. The usual working hours of the Studio Management team Monday to Friday are 10am to 6pm. The Studio Manager’s decision is final. 

 

6. STUDIO CREDIT

 

Members will use their best endeavours to ensure that all Dean St Studio in-house staff are correctly credited on releases.

 

6. EQUIPMENT

 

1. All items of equipment brought into Dean St Studios by its Members are brought and left entirely at the risk of a Member or  their guests. Dean St Studios, its representatives and/ or agents shall not be liable to any Member or guest for any loss, damage or injury suffered by them or their property howsoever caused, save in respect of death or personal injury to a Member or guest to the extent caused by the negligence of its Members, its representatives and/ or agents. This is not intended to affect any mandatory rights a Member or guest may have under local law that we cannot legally restrict or exclude.

 

2. Members using any equipment and facilities available at Dean St Studios, must take care to safeguard your own health and safety and that of other people. You will be solely responsible for any loss or injury that you cause to yourself, other persons or to the equipment or facilities to the extent that it is caused through your unsafe or improper use of the equipment or facilities (including your use of them while under the influence of alcohol or medication), or your failure to advise staff of a medical condition relevant to your use of the equipment or facilities.

 

3. Dean St Studios may request Members to complete a risk assessment and method statement prior to their booking.

 

8. PRIVACY

1.  Dean St Studios respect your privacy and comply with the General Data Protection Regulation with regards to your personal information.
2. These Terms and Conditions should be read alongside, and are in addition to our policies, including our Privacy Policy and Cookies Policy which can be found On the ‘Policies’ page on our website.

3. For the purposes of the Dean St Studios Membership Terms and Conditions:
   a) ‘Data Protection Laws’ means any applicable law relating to the processing of Personal Data, including, but not limited to the GDPR.
   b) ‘GDPR’ means the UK General Data Protection Regulation.
   c) ‘Data Controller’, ‘Personal Data’ and ‘Processing’ shall have the same meaning as in the GDPR.

4. Dean St Studios are a Data Controller of the Personal Data we Process in providing the Services and Goods to you.

5. Where you supply Personal Data to us so we can provide Services and Goods to you, and we Process that Personal Data in the course of providing the Services and Goods to you, we will comply with our obligations imposed by the Data Protection Laws:
   a) before or at the time of collecting Personal Data, we will identify the purposes for which information is being collected;
   b) we will only Process Personal Data for the purposes identified;
   c) we will respect your rights in relation to your Personal Data; and
   d) we will implement technical and organisational measures to ensure your Personal Data is secure.

6. No cameras, video or other recording devices, whether live-streaming or otherwise, and whether on a mobile phone or other medium, may be used while in Dean St Studios unless arranged prior to the session for content creation. Dean St Studios are responsible for ensuring that their guests also abide by this rule. Dean St Studios reserves the right to take possession of and confiscate any mobile phone, camera, video or other recording device and any photos, videos or other recorded images used or taken while in Dean St Studios that is not of your session.

7. For safety and security, it is important for Dean St Studios to have your current details and a photograph in our database. By becoming a Member, you agree that we can hold your personal details and a photograph of you for us to use in connection with your account. If your contact or payment details change, please let us know via email  bookings@deanst.com

8. Dean St. Studios will comply with the UK General Data Protection Regulation and Data Protection Act 2018 in relation to this Agreement. To the extent that Dean St Studios acts as the Member’s data processor, the Company will ensure that it does not process any personal data other than as instructed by the Member and will ensure that it has in place appropriate organisational and technical measures to ensure the integrity and security of and to prevent unauthorised processing of such personal data. The terms “data processor” and “personal data” shall have the meanings given to them in the General Data Protection Regulation and Data Protection Act 2018.

9. SUCCESSORS AND OUR SUB-CONTRACTORS

1. Either party may be able to transfer the benefit of this Contract to another party. Members will be required to firstly notify the Studio Manager of transfer. Once transfer is approved by the Studio Manager, the active member will remain liable to the other for its obligations under the membership agreement. The Supplier will be liable for the acts of any sub-contractors who it chooses to help perform its duties.
2. Please note, Membership applications will not be accepted from persons acting on behalf of a third party unless this is declared at the time of the application. 
3. Members must honestly declare and fully represent at the outset the purpose for hiring the studio. Any actual or apparent misrepresentation may result in immediate cancellation of the booking. Dean St Studios reserve the right to refuse any application for Hire where (in its sole opinion) it deems the Hirer’s purpose for hiring unsuitable or inappropriate.
4. The Member shall not assign or sublet in whole or in part any of its benefits or burdens under this Agreement.

 

10. CIRCUMSTANCES BEYOND THE CONTROL OF EITHER PARTY

1. In the event of any failure by a party because of something beyond its reasonable control:
   a) the party will advise the other party as soon as reasonably practicable; and
   b) the party’s obligations will be suspended so far as is reasonable, provided that that party will act reasonably, and the party will not be liable for any failure which it could not reasonably avoid, but this will not affect the Customer’s above rights relating to delivery and the right to cancel.

2. Dean St Studios do not exclude liability for: 

(a) any fraudulent act or omission; or 

(b) death or personal injury caused by negligence or breach of the Supplier’s other legal obligations. 

3. Subject to this, Dean St Studios are not liable for 

(a) loss which was not reasonably foreseeable to both parties at the time when the Contract was made, or 

(b) loss (eg loss of profit) to your business, trade, craft or profession which would not be suffered by a Consumer – because we believe you are not buying the Services and Goods wholly or mainly for your business, trade, craft or profession.

4. Notwithstanding any other term of this Agreement, Dean St Studios shall not be under any liability for any failure to perform any of its obligations under this Agreement due to Force Majeure. Following notification by the Dean St Studios to the Client of such cause, the Dean St Studios shall be allowed a reasonable extension of time for the performance of its obligations. For the purpose of these Conditions, ‘Force Majeure’ means: 
   1. an Act of God, explosion, flood, tempest, fire or accident; 
   2. war or threat of war, sabotage, insurrection, civil disturbance or requisition; 
   3. acts, restrictions, regulations, bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority; 
   4. import or export regulations or embargoes; 
   5. strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of the Dean St Studios or of a third party); 
   6. difficulties in obtaining raw materials, labour, fuel, parts or machinery; 
   7. power failure or breakdown in machinery. 

 

11. STUDIO RULES OF CONDUCT

 

1. Dean St Studios encourages diverse Membership. We operate a zero-tolerance approach to any social bias and discrimination, and expect the same from our Dean St Studios members. 

 

2. No Member or guest shall purchase, use, ingest, possess, sell or otherwise distribute illegal drugs or other substances, or attempt to do any of the same from any Member or guest, or shall ask any Dean St Studios staff for illegal drugs or other substances while in our Spaces or nearby. If any of the actions above prove true, the relevant Member and/ or guest will be removed and the Membership in question will be terminated. Depending on the circumstances, we may call the police or inform the relevant authorities.

3. We may at times close all or part of Dean St Studios for private events or for necessary maintenance, repair or redecoration work. Where we close part of the studio for private events, please honour and respect the privacy of all private events occurring in the Space and refrain from communicating any information about the event to third parties. Where all or part of a studio  is closed for maintenance, repair or redecoration work, or where we need to withdraw facilities or services because we consider that they may pose a risk to the health or safety of our Members, guests or staff, or that they are detrimental to the business, we will ensure that any such area, facility or service is reinstated as soon as practicable.

 

4. While you are a Member at Dean St Studios, we may ask you to give testimonials or participate in social media activities. We may also film, video or photograph our events and activities for use in our Membership programmes, advertising, promotions, public relations, and other commercial/ business purposes. If you take part in these interviews or events, you agree that we may use your name, image and other limited information and give us your consent to publish any materials produced by, or for us, for any purpose without your further consent, and you waive your right to receive any payment from us in connection with such publication.

 

5. If a Member has an accident or suffers any injury at Dean St Studios, please report this as soon as possible to a Member of staff, and in any event within 24 hours of the incident. As well as wanting to check on a Member or guest’s wellbeing, this information is needed in order to help us comply with our health and safety obligations and for insurance purposes.

 

6. All Dean St Studios and their guests are asked to respect our nearby residents by being quiet when entering or leaving our Spaces, or while in the surrounding area.

 

7. Where children or minors are guests of a Member, Dean St Studios are obligated to request Members to complete a risk assessment and method statement.

 

8. Dean St Studio Members  and their guests should be aware that for safety reasons we use CCTV.

 

9. All Dean St Studios and their guests are obligated to abide by the smoking policy that’s in effect in our Spaces, and to all applicable no-smoking governmental laws, rules and regulations. No smoking (including e-cigarettes and vapes) is allowed inside any of our Spaces at any time. Dean St Studios reserves the right to prohibit or limit smoking in any area of our premises at any time at its sole discretion. Dean St Studios reserves the right to designate certain outside areas of our premises as smoking areas and to change the location of such areas at any time. However, all Dean St Studios and their guests are requested to respect the wishes of other Members and their guests in relation to smoking and to refrain from smoking when requested to do so.

 

10. Members may send packages to Dean St Studios provided they do so at their own risk and whilst respecting standard opening  hours of the studio. Members are invited to warn the Studio Manager ahead of deliveries. 

 

11. Members must not approach, disturb or solicit others in any of the spaces of Dean St Studios that they do not know. Doing so may lead to suspension or termination of their Membership.

 

12. Conduct by a Member that is prejudicial to the reputation and character of Dean St Studios may result in suspension or expulsion of that Member or guest. Such conduct may include inappropriate, discriminatory, violent or abusive behaviour, and anything that goes against our pledge for diversity and inclusion, or the communication of information concerning the affairs of the Dean St Studios, Members or their guests to the media. An expelled Member may not return to Dean St Studios as a guest. A refund of the expelled Member’s fee will be at the discretion of Dean St Studios. 

 

13. Any Member who wilfully removes, damages or destroys any property belonging to Dean St Studios, or to Members or guests on the premises of Dean St Studios Space, will be liable to expulsion and/ or suspension or termination of their Membership. Every Member must abide by the rules, bylaws and regulations of Dean St Studios at all times upon acceptance as a Member. If Dean St Studios considers that any Member’s (or their guest’s) conduct either inside or outside of Dean St Studios is, at its absolute discretion, contrary to the interests of Dean St Studios, Dean St Studios may, with immediate effect, expel the Member or guest from premises and/ or suspend or terminate that Dean St Studios account without having to give any reason to such Member or guest.

 

14. Members and their guests shall not use intellectual property including the names, logos, colours, trademarks, service marks, photographs, trade dress, or other identifying features of Dean St Studios and its affiliates without obtaining the specific prior written approval of Dean St Studios as to the specific use. You hereby expressly recognise that intellectual property belonging to Dean St Studios’ intellectual property are the valid, unique and exclusive property of Dean St Studios, its parent, affiliates and/ or subsidiaries. Members and their guests may not produce, use or create, or authorise others to produce, use or create Dean St Studios’ intellectual property for any purpose whatsoever, including, but not limited to, in any communications, marketing, advertising or other promotional materials (including, but not limited to, brochures, flyers, invitations, e-mail messages, etc) that utilise the intellectual property of Dean St Studios  without Dean St Studios prior written consent.

15. Dean St Studios may change these Dean St Studios house rules from time to time by displaying notification of the change on Dean St Studios website.  

 

12. MISCELLANEOUS 

1. This Agreement constitutes the entire agreement between the Member and Dean St Studios and neither party shall be bound by any other statement or representation made to the other. 
2. The Member and Dean St Studios will keep confidential all information acquired as a result of the arrangements set out in this Agreement. The parties are not permitted to disclose to any third party any such information, except in order to perform this Agreement. Any such disclosure to any third party shall be on a ‘need-to-know’ basis only and the party making such disclosure shall use reasonable endeavours to ensure that the third party keeps the disclosed information confidential. Each party will be responsible for ensuring that all of its staff and contractors adhere to the provisions of this clause. 
3. The Member shall indemnify and keep indemnified Dean St Studios from and against any and all loss, damage or liability (whether criminal or civil) suffered and legal fees and costs incurred by the Company and/or Gallery resulting from a breach of this Agreement by the Member including any act, neglect or default of the Member its officers, servants, agents or guests and breaches in respect of any matter arising from the Event resulting in any successful claim by any third party.
4. The Member shall effect and maintain throughout the booking with one or more reputable insurers, such policy or policies of insurance as are adequate to cover its prospective liabilities in connection with this Agreement. The minimum cover per claim shall in respect of death or personal injury, be unlimited, and in respect of damage to or loss of property be £5 million per claim (in the case of a company or similar entity) or £2 million (in the case of an individual person), unless otherwise agreed in writing with the Company, and be unlimited in aggregate.
5. The Member shall at the request of Dean St Studios provide evidence that valid and suitable insurance policies are in place. Failing to comply with this clause 9 shall amount to a fundamental breach of this Agreement.
6. Dean St Studios shall indemnify the Member against claims for death and personal injury arising pursuant to performance of this Agreement, arising from the negligence of Dean St Studios.
7. The Member shall indemnify and keep indemnified Dean St Studios from and against all claims, proceedings, actions, damages, legal costs (including but not limited to legal costs and disbursements on a solicitor and client basis), expenses and any other liabilities arising from or incurred by the use of the Member, pursuant to performance of this Agreement, of any material which involves any infringement or alleged infringement of the intellectual property rights of any third party.
8. No variation or amendment to this Agreement shall be effective unless made in writing and signed by the parties hereto. 
9. Any failure, delay, relaxation or concession by Dean St Studios in the exercise of any right or remedy hereunder shall not be construed as a waiver or relinquishment of that right or remedy. A waiver of any right or remedy arising from a breach of this Agreement shall not constitute a waiver of any right or remedy arising from any future breach. No waiver shall be effective unless communicated in writing.
10. If any requirement of this Agreement is in conflict with the law or public policy such conflicting requirement shall be deemed to be severed from this Agreement and the validity of the remainder will not be affected by such severance.
11. In the event that any part of this Agreement shall be held to be void, voidable or otherwise unenforceable by a court of competent jurisdiction then the balance thereof shall remain in full force and effect 
12. No provision of this Agreement is enforceable under the Contracts (Rights of Third Parties) Act 1999 or 9 otherwise by any person who is not a party to this Agreement. 
13. All notices required to be given hereunder shall be in writing and deemed properly served if delivered to the details in point 7 below.

Dean St Studios shall attempt in good faith to resolve the dispute by amicable discussion between them.

15. In the case of conflicts or dispute regarding the enforcement of this contract, parties agree to engage in Alternative Dispute Resolution, such as mediation or arbitration, before seeking legal remedies. 
16. In the event of any dispute arising as to the meaning or interpretation of these rules, the matter shall be referred to Dean St Studios, whose decision with respect to your Membership shall be final and without appeal.
17. Nothing in or arising out of this Agreement is to be taken as constituting a partnership or agency between the parties and no party shall have the right or authority to bind or commit the other in any manner or for any purposes whatsoever. 
18. This Agreement (and any claims (contractual or non-contractual) or disputes arising in connection with the same) shall be construed in accordance with the laws of England and Wales and subject to the exclusive jurisdiction of the English Courts.
